Terms of Service

1. Agreement to these Terms

These Terms of Service ("Terms") form a binding agreement between you ("you", "user") and BuildYourPocket, the operator of BYP — Build Your Pocket ("BYP", "we", "us", "our"). By creating an account, accessing, or using the BYP applications, websites, and related services (collectively, the "Service"), you agree to these Terms and to our Privacy Policy and Refund Policy. If you do not agree, do not use the Service.

2. Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) and able to form a binding contract. You are responsible for ensuring your use of the Service is lawful where you live.

3. What BYP is — and what it is not

BYP is a research-and-analysis workbench. It provides tools such as an AI research copilot, research desks, risk-modeling ("Risk Guard"), backtesting, screeners, watchlists, alerts, and multi-asset market data and analytics. All workflows are draft-only.

• The Service is not a broker-dealer, investment adviser, financial planner, or exchange.
• The Service does not provide personalized financial, investment, legal, accounting or tax advice.
• The Service does not execute or auto-trade real-money orders on your behalf.
• Nothing in the Service is a recommendation, solicitation, or offer to buy or sell any security or financial instrument.

You are solely responsible for your own decisions. Consider consulting a licensed professional before making financial decisions.

4. AI-generated content

The Service includes AI features (including "Captain Umro"). AI output is generated automatically, may be incomplete, out of date, or incorrect, and must be independently verified. AI output is research assistance only and is not advice. We do not warrant the accuracy or suitability of any AI output.

5. Market data

Market data may be delayed or real-time depending on your plan and third-party providers, and is provided "as is". Data may contain errors, gaps, or delays. You may not redistribute, resell, or scrape market data except as expressly permitted.

6. Accounts and security

You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. BYP is local-first: certain sensitive data (including your portfolio and any broker API keys) is stored on your device, and optional cloud sync is end-to-end encrypted such that we store only ciphertext. You are responsible for safeguarding your device, encryption passphrase, and any recovery keys. We cannot recover end-to-end encrypted data if you lose your key.

7. Subscriptions, billing, and Stripe

During the current complimentary launch (see 7a), paid plans are not being sold and no charges are made. The following terms govern paid subscriptions if and when BYP makes them available for purchase.

Paid plans (Premium, Pro, Elite) are offered as recurring subscriptions billed monthly or annually. Payments are processed by Stripe; we do not store your full card details. By subscribing you authorize recurring charges until you cancel. Annual plans are billed for ten (10) months up front (two months free). Prices are in USD and exclusive of any applicable taxes. We may change prices prospectively with reasonable notice. Cancellation and refunds are governed by our Refund Policy.

7a. Complimentary launch access

During BYP's launch or promotional access period, eligible registered users may receive complimentary access to features ordinarily associated with the Elite tier. For clarity:

• No charge is made for complimentary access, and no payment method is required to receive it.
• Complimentary access is not a purchased Elite subscription and does not create a Stripe or app-store subscription or any billing record.
• The features included in complimentary access may change or be withdrawn, and BYP may introduce paid plans in the future.
• Complimentary access does not itself authorize BYP to charge you at any time.

7b. Future paid plans

BYP may introduce paid subscriptions in the future. Complimentary access will not automatically become a paid subscription merely because BYP introduces pricing. Before any charge, you will be presented with the applicable plan, price, billing period, and any renewal terms, and you must provide the required payment authorization. BYP does not perform silent conversion of complimentary access into a paid plan.

8. Acceptable use

You agree not to:

• Use the Service for unlawful purposes or in violation of applicable securities, financial, or data laws.
• Reverse engineer, decompile, or attempt to extract source code, except where permitted by law.
• Circumvent usage limits, rate limits, or access controls, or share access to evade plan limits.
• Introduce malware, disrupt, or overload the Service or its infrastructure.
• Scrape, resell, or redistribute data, models, or outputs except as expressly allowed.
• Misrepresent BYP output as personalized advice to others without appropriate licensing.

9. Intellectual property

The Service, including its software, design, and content (excluding your own data), is owned by BuildYourPocket and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service per these Terms. You retain ownership of the content and data you create; you grant us the limited rights needed to operate the Service for you.

10. Third-party services

The Service integrates with third parties (for example, market-data providers, Stripe for payments, and optional account aggregation via Plaid). Your use of those services is subject to their terms and privacy policies. We are not responsible for third-party services.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY ANALYSIS, MODEL, OR BACKTEST WILL BE ACCURATE OR PROFITABLE. PAST OR MODELED RESULTS DO NOT GUARANTEE FUTURE RESULTS.

12. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BuildYourPocket AND ITS AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, TRADING LOSSES, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME MAY NOT APPLY TO YOU.

13. Indemnification

You agree to indemnify and hold harmless BuildYourPocket from claims, damages, and expenses (including reasonable legal fees) arising from your misuse of the Service or violation of these Terms.

14. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access if you violate these Terms or to protect the Service. Sections that by their nature should survive termination (including Disclaimers, Limitation of Liability, and Intellectual Property) will survive.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be posted here with an updated date, and where required we will provide notice. Continued use after changes take effect constitutes acceptance.

16. Governing law and disputes

These Terms are governed by the laws of the jurisdiction in which BuildYourPocket is established, without regard to conflict-of-laws rules, and the competent courts of that jurisdiction have exclusive venue for any dispute, unless applicable law requires otherwise. Before starting any formal proceeding, you agree to first contact us at legal@buildyourpocket.com so we can try to resolve the matter informally.
